The terms stated below (hereinafter referred to as the "Terms") stipulate the purchases and other various conditions for services or products (hereinafter referred to as the "Provided Content") that will be applied to a user (hereinafter referred to as the "User") who uses an EC (electronic commerce) shop (hereinafter referred to as the "EC Store") in association with operation of the EC Store by SB Technology Corp. (Representative Director: Shinichi Ata; hereinafter referred to as "SBT"), which operates Norton Stores. Important information related to the User's rights and obligations are stated in the Terms, so please read them carefully.

If the User is located in North or South America, "NortonLifeLock" means NortonLifeLock Inc., which is a corporation registered in the State of Delaware with its main office at 60 E. Rio Salado, Suite 1000, Tempe, AZ 85281 United States of America. If the User is located in Europe, Russia, the Commonwealth of Independent States (CIS), the Middle East, Africa, or Asia, including Japan and Oceania, "NortonLifeLock” means NortonLifeLock Ireland Limited at Ballycoolin Business Park, Blanchardstown Dublin 15, Ireland.

The policies and materials that are explicitly referred to in the Terms will be incorporated into the Terms by reference. The Terms may be changed, and they will be applied on the date they go into effect. Excluding cases in which the User separately agreed to such a change, it will be deemed that the User agreed to the revised terms being binding on the User as a result of continuing to use the EC Store and/or the Provided Content. The Terms will not affect the legal rights that the User has as a customer based on laws that apply to the User.

1. Order placement and acceptance

1.1 By executing an order, the User will submit to NortonLifeLock purchase, subscription, and/or registration of the relevant Provided Content based on the Terms, and the order must be processed and accepted by NortonLifeLock SBT will transmit to the User correspondence that conveys the means of delivery of the Provided Content, and depending on the case, this transaction by the User will become complete when the User's payment was received, and acceptance by NortonLifeLock will go into effect.

1.1.1 Note: Please confirm the service period for the Provided Content that will be provided to the User. Depending on the Provided Content, it may begin at the time of purchase or it may begin at the time the Provided Content was downloaded or installed on the User's device. In either case, promptly after making a purchase, please install and start the Provided Content that is provided to the User and read the document and the end user license agreement (hereinafter referred to as the "EULA"). The EULA will be applied to the User's use of the Provided Content (refer to Article 5).

1.2 NortonLifeLock and SBT will explicitly retain the right to refuse an order by the User or this transaction. In addition, in the event that this transaction has been established, NortonLifeLock and SBT can cancel or annul the relevant transaction by giving notification by SBT's prescribed method without bearing any liability or expense. In such a case, SBT will refund the User's payments that were already paid by the User for the service period for the Provided Content at that time, and in some cases, it will also cancel or restrict the right to access the relevant Provided Content. In the case of a sale reservation order, SBT will not charge the User for the User's order until preparations for sending the User's order are completed. Accordingly, in the event that the User's order or transaction is cancelled for any reason before sending, the User will not be charged.

1.3 The Provided Content that is displayed and/or referred to on the EC Store or information related to the Provided Content may be changed, it will not necessarily always be available for use, and it is not an offer by NortonLifeLock.

1.4 NortonLifeLock recommends that the User stores, as a record for future reference, copies of the Terms and the order.

2. Declarations by the User

2.1 The User must be 20 years old or older, have the capacity to conclude an agreement with SBT, and use the EC Store in accordance with the Terms. When the User is younger than 20 years old, he or she cannot use the EC Store without obtaining agreement from the parent or guardian.

2.2 The User is to ensure that all of the information that he or she will provide when executing an order is accurate and sufficient for the User's performance of this transaction.

2.3 In the event that the User is a new customer, before it becomes possible to execute an order, it may be necessary for the User to set up an account with NortonLifeLock and provide accurate information that includes an email address and telephone number that will serve as the User's contact information.

2.4 Notification of receipt of the User's confirmation mail and invoicing, and notifications related to the User's orders, such as information related to future orders, will be sent to the email address that was entered at the time of product purchase. In the event that this email address produced a sending error for any reason, SBT may be unable to notify the User about important information related to this transaction, information related to payment, and/or problems related to the Provided Content that is provided to the User. It is possible to update your email address by contacting Customer Support. Please confirm that your own personal information is accurate.

2.5 For each of these transactions, the User must comply with the terms of the Provided Content and the use rights that are stipulated in the relevant EULA and that are stated in detail in Article 5.

3. Prices, payment conditions, and payment method

3.1 Even if it is an initiative by SBT, a mistake or inaccurate information may accidentally be stated in the price of the Provided Content or a price on the EC Store. In such a case, SBT will contact the User and then invalidate the relevant order.

3.2 SBT will retain the right to withdraw discounts and/or revise prices for prices on the EC Store or the price of Provided Content at any time before acceptance of an order by the User. The final price for this transaction will be reflected before the User's order confirmation.

3.3 The country to which SBT will deliver the Provided Content (hereinafter referred to as the "Subject Area") is the Hong Kong Special Administrative Region of the People's Republic of China.

3.4 The User is to agree to pay the applicable VAT and taxes for the Provided Content that will be stipulated when the User executes an order. Expenses related to accessing the EC Store will be borne by the User and will depend on the User's Internet service provider.

3.5 Payment will be limited to a method that uses a designated payment option that can be used at the EC Store.

3.6 SBT will retain the right to use a third party that has authority to provide assistance for certain payment processing and transaction-related functions. (Some cases may include transfer for which the use and safety of the User's personal information and/or payment information has been ensured.) The User's information will definitely not be sold or shared for any other reason without the User's consent. SBT will also retain the right to change or revise the third party that has authority. As a result of SBT's use of a third party, SBT will provide diverse payment methods, and it will become possible to reduce instances of non-establishment of this transaction; therefore, there will be benefits for the User.

3.7 For payment by credit/debit card, the User's consent will be obtained, and then SBT will follow SBT's Privacy Policy and retain the User's payment information that the User entered at the time of purchasing the product. SBT will use the User's payment information for invoicing and renewal for purchases by the User, and it may propose the use for subsequent purchases. As a result of this, it will become possible for the User to execute orders and this transaction without being asked to re-enter payment information. It is possible for the User to request a change or deletion of personal information by contacting Customer Support.

3.8 In the event that the User purchased a subscription for which charges will be paid in advance and that will be renewed automatically, for invoicing by the User's recorded payment method, SBT will notify the User by email in advance.

3.8.1 Note: In the event that the Provided Content is a subscription for which charges will be paid in advance, if the User has conducted registration of automatic renewal, SBT will reconfirm the renewal charge and the User's payment method and give notification of details, such as the date of sending an invoice, before conducting invoicing.

3.8.2 Whichever subscription is used for the Provided Content, the User can log in to "Confirmation of order information" or contact Customer Support and thereby discontinue the automatic renewal function.

3.9 SBT will retain the right to confirm payment by credit/debit card before accepting an order by the User. In addition, in order to complete this transaction, SBT will retain the right to, in some cases, electronically obtain renewed credit card account information from the card company, continue to use it, and re-execute payment that was executed (including but not limited to conducting re-executing, on the updated date of expiration, a card by which payment was not possible).

3.10 For offline payment, in order to complete an order, the User must issue to a member location the ticket or invoice that was electronically generated. In the event that the User was unable to complete payment or remittance, the User's order may be cancelled within a certain number of days.

3.11 For payment for invoices, each invoice will use the date of the invoice as the date of starting the calculation, and the amounts should be paid within the periods stated in the User's invoices. At any time, in the event that the User did not pay an amount that should be paid on the payment date, SBT can give notification and thereby declare that the payment deadline will immediately arrive (loss of the benefit of term) for the total amount of the invoice amount for payment on that date.

3.12 It is not possible to conduct offsetting or deduction by counterclaim for amounts that the User should pay to SBT, unless SBT has consented in writing.

4. Delivery, burden of risk, and damage

4.1 Delivery dates and times that are stated in information from the EC Store and SBT are merely prospects, and SBT will not bear liability in a case in which delivery was delayed. In the event that the Provided Content was delivered to the User electronically or by telephone, it will not be packaged. In relation to the purchases of software and/or services, delivery for an order by the User will be by 30 days after the date when the User executed the order through the EC store immediately after NortonLifeLock accepted the order. For purchases by advance reservation associated with hardware or devices, delivery for an order by the User will be as stated in the document and/or confirmation mail that is provided to the User at the time of purchase. In the event that SBT cannot deliver a product and/or service within the relevant period, the User will be given the choice of (i) permitting extension of the delivery period, or (ii) cancelling the order and receiving a refund of the payment that was already paid for that order.

4.2 Only for purchases of software, delivery will be made to the User's valid email address within the Subject Area (hereinafter referred to as the "Address for Delivery") that the User presented as a condition for approval by SBT. Please check the Address for Delivery that is stated in the notification of order completion that SBT provides, and if a change is necessary or if there is a mistake or omission, please contact Customer Support without delay.

5. License for the Provided Content (or software)

For each product stated on the EC Store, grants a license to the User based on the relevant EULA. In addition, in the event that software manufactured by a third party is included, the terms of use for that software are to be complied with in addition to the aforementioned EULA. The User's methods of using products are stipulated by the relevant EULA and terms of use. Before using a product, it is necessary to read the clauses of the EULA and the terms of use, understand their content, and agree to that content. 6. Order restriction

Depending on the Provided Content, there may be a maximum for the order quantity.

7. Refunds and returns

7.1 In the event that a product was purchased or the valid period was extended for one year or more, if the product that was delivered differs from the product that was ordered, or if nonconformity with the agreement, such as a program’s defect or damage, was discovered, the purchaser can return or exchange the product within 1 year after the date of purchase. In addition, in the event that there is a reason for any dissatisfaction with the product, the purchaser can return or exchange the product within 60 days after the date of purchase. (Provided, however, that for products for which the valid period is a monthly unit or less than one month or for products that are services other than Norton virus diagnosis and elimination services, return or exchange will be possible within 30 days after the date of purchase.) In the event that, among the products, a Norton virus diagnosis and elimination service has been bundled at the time of purchase of another Norton product, the return or exchange of the Norton virus diagnosis and elimination service will be handled in the same way as the return or exchange of a Norton product.

7.2 In the event that the purchaser will return or exchange the product based on the previous clause, the purchaser is to follow SBT's prescribed procedures to contact SBT, give the reason for the return or exchange, and send the product back. The purchaser will bear the expenses for the return or exchange in the case of a reason for dissatisfaction with a product. Provided, however, that in a case in which SBT judged that provision of a product by a replacement item is difficult because it is out-of-stock or sold out at the time of the product's exchange, SBT can refund the consideration for the product that was received from the purchaser and cancel the use agreement.

7.3 Even if it is a case in which return or exchange based on 7.1 is possible, in a case that falls under one of the items below SBT will be unable to accept return or exchange.

  • A case of a product for which a flaw or damage occurred for a reason not attributable to SBT
  • A case in which the same product as a product for which return or exchange was received in the past was purchased again
  • A case in which the product was purchased from a place other than the EC Store
  • A case in which the product was not returned within the period stated in 7.1, according to SBT’s prescribed procedure after the date of purchase or after the arrival of documents for the return or exchange
  • A case of not-for-resale (NFR) software
  • A case of a Norton product that was bundled in a multipack that is not the Norton brand
  • A case of a Norton product for which the expiration date ended
  • A case of service that was used
  • A case of a product intended for companies or corporations, such as pcAnywhere

7.4 In addition to what is stipulated in this article, SBT will not bear any liability for nonconformity with the agreement.

8. Privacy

Concerning information by which the relevant person can be identified (hereinafter referred to as "Personal Information") that was obtained from the User in the EC Store, SBT will maintain and manage it according to the content of the Personal Information Protection Policy that is separately posted within the EC Store, and it will use it according to the content stated in "About the use of personal information."

9. Resale and gifts

The User can purchase products only for the purpose of using them personally. The User cannot resell products for the purpose of profit, but it is possible to transfer products as gifts. In the event that a person who received a product as a gift will receive the support service by NortonLifeLock it will be necessary to create and manage a Norton account. The relevant conditions will be applied to all cases in which a gift was received.

10. About brand protection for products that are not permitted

10.1 The User may not alter, divide, or partially disassemble a Norton product for provision, transfer, or resale to another party or for any other purpose. The User cannot, for any purpose whatsoever, separate a product's license key from the product and transfer it to a third party.

10.2 It is necessary for all products to first be purchased from NortonLifeLock or an authorized partner of NortonLifeLock In the event that NortonLifeLock rationally judged that the User purchased a product from NortonLifeLock (or NortonLifeLock 's authorized partner) by using an illegal payment method or by another method that is not permitted, NortonLifeLock will not bear an obligation to provide the User's continuous use of the relevant product and/or support service.

10.3 For a product that was purchased by a method that is not permitted or by otherwise going against a related provision of the EULA, NortonLifeLock and SBT have the authority to, at their own discretion, refuse the relevant order or transaction and/or invalidate the relevant product.

10.4 Each product can only be used in the region where it was purchased, and products are not intended for use in other regions. The possibility of use, installation, and/or activation of a product may be restricted, depending on the region where the User purchased the product.

11. Other important information

11.1 Denial of guarantees
Within the scope that is permitted under applicable laws, NortonLifeLock and SBT explicitly deny all types of guarantees, irrespective of whether they are explicit or implicit, and this denial includes but is not limited to guarantees of marketability, eligibility for a specific purpose, or non-infringement of intellectual property rights. Within the scope that is permitted under applicable laws, NortonLifeLock and SBT will not make any guarantees about the following matters: (i) the fact that the Provided Content and/or the EC Store fulfill the User's requirements; (ii) the fact that the Provided Content and/or the EC Store will not be interrupted, that they are timely, that they are safe, or that there will be no errors; (iii) the fact that the results that will be obtained through purchase of the Provided Content and/or use of the EC Store are accurate and can be trusted; (iv) the fact that the Provided Content that was purchased by the User and/or information that was obtained through the Provided Content and/or the EC Store will meet the User's expectations; or (v) the fact that errors in the Provided Content and/or the EC Store will be corrected. NortonLifeLock and SBT will not guarantee third-party products.

11.2 Limitation of liability
Depending on the country and the jurisdiction, including the member countries of the European Economic Area, limitation or denial of liability for compensation for incidental damage or consequential damage may not be allowed, and the limitation or denial below may be applied to the User. Except in cases of intentional or gross negligence, and irrespective of whether or not the relief stipulated in this document carries out its essential purpose, NortonLifeLock and SBT will not bear liability to the User for the following matters in any case: (a) lost profit or loss of data caused by provision of the Provided Content and/or the EC Store; (b) loss of use or lack of availability of a computer device, non-delivery of a message, or a transmission error caused by use or unavailability of the Provided Content and/or the EC Store; or (c) special damage, consequential damage, indirect damage, or other similar loss or damage. Except in cases of intentional or gross negligence, the liability of NortonLifeLock and SBT will be limited to a maximum of the amount that the User paid for the relevant Provided Content.

12. Copyrighted works and copyrights

12.1 All trademark rights, copyrights, patent rights, and other intellectual property rights that are provided, used, or represented in the EC Store will attribute to SBT or the original right-holder that provided the relevant intellectual property rights to SBT. The User may not, without obtaining SBT's explicit written permission in advance, conduct reprinting, duplication, public announcement, alteration, redistribution, or other actions for the relevant intellectual property rights or a portion of the relevant intellectual property rights, either itself or by using a third party.

12.2 The User may not, without SBT's prior written consent, transfer to a third party, or provide as collateral, such as a right of pledge, all or a portion of rights based on the Terms.

12.3 Based on the Terms, SBT can, without being required to give any notification, transfer to the financial institution or settlement institution that the User selected as payment means for consideration for products, or to a supplier or lease company that will be SBT's vendor for products that the User selected, all or a portion of SBT's right to receive consideration for products from the User.

13. Prohibited matters

In order to have all of the Users beneficially enjoy the EC Store, we prohibit the actions below.

  • Actions of infringing the copyrights, portrait rights, business secrets, assets, privacy, or other rights of SBT, an SBT group company, or a third party, or actions that have a possibility of such actions
  • Actions of slandering or libeling a third party or damaging or harming a third party's honor or reputation, or actions that have a possibility of such actions
  • Criminal actions, actions that will lead to a criminal action, or actions that have a possibility of such results
  • Actions of providing information that is contrary to the truth
  • Actions of using or providing a harmful computer program, such as a computer virus, through use of the EC Store or in relation to the EC Store or the use agreement
  • Actions of publicly announcing to third parties, through use of the EC Store or in relation to the EC Store or the use agreement, information, sentences, or figures that go against public order and morals, or actions that have a possibility of doing so
  • Actions that will hinder use or operation of the EC Store, or actions that have a possibility of doing so
  • Actions that cause inconvenience, a disadvantage, or damage to SBT, an SBT group company, or a third party, or actions that have a possibility of doing so
  • Actions that violate laws or ordinances or actions that have a possibility of doing so
  • Other actions that SBT judges as inappropriate

14. Force majeure

NortonLifeLock will not bear liability for nonperformance due to an unexpected situation or a reason beyond NortonLifeLock’s rational control, including but not limited to natural disaster, war (irrespective of whether or not it was declared), riot, embargo, action by civil or military authorities, terrorist attack or possibility of a terrorist attack, fire, flood, accident, strike, lockout, failure of a public or private telecommunication network or infrastructure, or insufficiency of transportation, equipment, fuel, energy, labor power, or raw materials. In a case of such a delay, NortonLifeLock will be exempted from performance within the scope in which the delay or failure is occurring due to the relevant reason.

15. Export restrictions

The User is to understand that, for the Provided Content and related technical data and services, if technology subject to restriction (collectively referred to as the "Technology Subject to Restriction") will be imported or re-exported, it may be necessary to obey the United States' laws related to imports and exports, particularly the Export Administration Regulations (EAR), and the laws of each country. The User is to agree to comply with all related laws and to not export the Technology Subject to Restriction to a country, organization, or individual that violates the laws of the United States or for which permission for export or other government approval is required and that will be subject to such prohibition. For all of the Technology Subject to Restriction, export or re-export to Cuba, North Korea, Iran, Syria, and Sudan, and countries subject to trade sanctions, including Afghanistan and Iraq, is prohibited. Use or realization of NortonLifeLock’s Provided Content in relation to activities including but not limited to designing, developing, manufacturing, training, or testing chemical substances, biological substances, nuclear substances, or missiles, drones, or vehicles for space-launching that can transport weapons of mass destruction is prohibited according to the laws of the United States.

16. Governing laws

The Terms will receive application of the laws of Japan and will be interpreted based on the laws of Japan.

17. Arbitration

All disputes, arguments, or differences of opinion that arise based on the Terms or in relation to the Terms are to be ultimately resolved by arbitration according to the commercial arbitration rules of the Japan Commercial Arbitration Association. The place of arbitration will be Tokyo.

18. Change of the scope of terms

18.1 The EC Store can be used only in the Subject Area.

18.2 The Terms fall under the standard terms and conditions stipulated in Article 548.2.1 of the Civil Code, and SBT will change them based on a change in the law or ordinance, instructions by a regulatory agency, or other provisions for a change of the standard terms and conditions of Article 548-4 of the Civil Code. For a change in the Terms, the content of any changed provisions will be publicly announced on a page on the EC Store or another suitable method, and the change of the Terms will be applied beginning on the date when a suitable period of one month or more stipulated at the time of public announcement has passed.

18.3 An individual special agreement may be provided in addition to the Terms. In such a case, that special agreement will constitute a portion of the Terms, and in the event that a discrepancy arises between the Terms and a provision of that special agreement, the stipulations of that special agreement will prevail.
